CoreSpot360 is an all-in-one SaaS platform designed to streamline communication and reputation management for businesses. Our software includes, but is not limited to, tools such as CoreInbox, CoreRep Management, CRM, email, SMS, outbound calling, scheduling, and other functionalities (collectively, the “Service”).

By using CoreSpot360, you agree to these Terms. We reserve the right to change, modify, add, or remove portions of these Terms at any time. Any updates will be effective immediately upon posting, and your continued use of CoreSpot360 will constitute your acceptance of such changes.

Account Creation: You may be required to register for a CoreSpot360 account to access certain features. By registering, you agree to provide accurate, current, and complete information.

Account Responsibility: You are responsible for maintaining the confidentiality of your account information and all activities that occur under your account. You must promptly notify us of any unauthorized use of your account.

Account Termination: We reserve the right to suspend or terminate your account if we determine that any provided information is inaccurate, incomplete, or violates these Terms.

License Grant: Automate360 Enterprises, LLC grants you a limited, non-exclusive, non-transferable license to use CoreSpot360 for your business purposes.

Prohibited Activities: You agree not to:

• Copy, modify, or reverse-engineer CoreSpot360.
• Use CoreSpot360 for illegal purposes or in a manner that infringes on the rights of others.
• Use automated means to interact with CoreSpot360 in ways that exceed permitted usage.

We may alter or discontinue any aspect or feature of CoreSpot360, including functionality, pricing, or availability, without prior notice. We are not liable for any modification, suspension, or discontinuation of the Service.

Subscription Fees: CoreSpot360 offers monthly and annual subscriptions, with payments due in advance for each billing cycle. Annual subscriptions are non-refundable, but you may cancel monthly subscriptions at any time, effective at the end of the billing cycle.

Authorization Charges: An authorization charge may be applied to verify your payment method, refunded immediately after verification. Transaction processing times may vary by bank.

Cancellation: You may cancel monthly subscriptions anytime, effective at the end of the billing period. For annual subscriptions, cancellations are effective at the end of the annual period, and no refunds will be issued.

User Content: CoreSpot360 may include areas where users can submit or post content (“User Content”), such as forums or comment sections. You are solely responsible for all User Content and assume the risks of posting it publicly.

Content Guidelines: User Content must not:

• Infringe on the rights of others.
• Be defamatory, abusive, obscene, or otherwise inappropriate.
• Contain harmful or disruptive code, such as viruses.

License Grant: By submitting User Content, you grant Automate360 Enterprises, LLC a worldwide, royalty-free, perpetual, irrevocable, and non-exclusive right to use, display, and distribute the User Content as part of our Service.

You agree to:

• Use CoreSpot360 only for lawful purposes.
• Refrain from engaging in any conduct that could harm the Service or its users.
• Avoid impersonating other individuals or entities.
• Respect other users’ privacy and refrain from collecting personal information without consent.

Ownership: All text, graphics, software, and other materials available on CoreSpot360 are protected by copyright, trademark, and other intellectual property laws. All rights are owned by Automate360 Enterprises, LLC or its licensors.

Restrictions: You may not copy, modify, or create derivative works from CoreSpot360 content without explicit permission. Unauthorized use of the Service or Content may result in termination of your account.

User Submission Rules: Any content you submit to CoreSpot360 forums must comply with these Terms. You must not post any illegal, defamatory, or otherwise prohibited material.

Monitoring and Rights: Automate360 Enterprises, LLC reserves the right, but has no obligation, to monitor or edit content submitted by users. By submitting content, you grant us an irrevocable license to use and display it within CoreSpot360.

Disclaimer: We are not liable for any opinions, advice, or statements made in forums or other user-generated content areas.

CoreSpot360 may offer a lead generation guarantee to clients using specified marketing tools. This guarantee is subject to adherence to specific conditions, such as maintaining an active account, using designated budgets, and attending scheduled onboarding sessions. Please refer to the specific terms for lead generation guarantees provided at the time of subscription.

Billing for Marketing Services: CoreSpot360 offers access to additional outbound marketing services, including phone, SMS, and email communication tools. These services are billed separately from the subscription fee and are subject to our wholesale rates, available upon request.

Pricing: Each communication channel, including SMS, email, and phone calls, is subject to usage fees, which will appear on your billing statement.

Complimentary Credits: CoreSpot360 provides non-transferable monthly credits for SMS, emails, and phone calls, which do not roll over to the following month.

Minimum Balance: Users are required to maintain a minimum wallet balance of $10 to access paid communication features.

If you have been a CoreSpot360 user for at least six months and face significant financial hardship, you may request a one-time, one-month extension of your subscription by contacting support. Approval is at our discretion and not guaranteed.

CoreSpot360 is provided on an “AS IS” and “AS AVAILABLE” basis. Automate360 Enterprises, LLC disclaims all warranties, express or implied, regarding the Service’s reliability, timeliness, security, or accuracy. We do not guarantee that CoreSpot360 will meet your needs or expectations.

To the fullest extent permitted by law, Automate360 Enterprises, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from or related to the use of CoreSpot360. In no event shall our total liability to you exceed the amount paid by you for the Service within the 12 months preceding the claim.

You agree to indemnify and hold harmless Automate360 Enterprises, LLC, its affiliates, and respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising out of your use of CoreSpot360 or your breach of these Terms.

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Georgia.

CoreSpot360 is operated from the United States. Users accessing CoreSpot360 from outside the U.S. do so at their own risk and are responsible for compliance with their local laws. You agree not to use or export any content or software from CoreSpot360 in violation of U.S. laws and regulations.

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be modified to reflect the parties' intention, and the remaining provisions shall remain in effect.

These Terms constitute the entire agreement between you and Automate360 Enterprises, LLC with respect to your use of CoreSpot360, superseding any prior agreements.
